says he wants $400, it won't stay in 1st, the gear for the speedo is 'catching' and not run for 2 years so probably needs carbs cleaned
carbs hard to reach or hard to fix once out?

My neighbor had one that had sat for 8 years without being run, and obviously it needed work to clean out the gunky old fuel. The fuel tank on top drains to the one in the frame....then a fuel pump takes it to the carbs. I cleaned out the old fuel and made sure it pumped....and then moved on to the carbs. The first time it took me 5 hours to get the carbs off the bike....there is a lot of stuff to take off - the worst is a clip that holds a coolant line on the front of the rear cylinders, and it is nearly impossible to get to. I had to clean the carbs, and replace the diaphragms on the slides. Once I got it all cleaned up and back together it ran - but an O-ring on a coolant line went bad and the carbs had to come back off again....GRRRR! I got it all back together again.....and by then the O-rings on the fuel lines between the carbs had started to leak, and Honda no longer makes that part. Luckily there is a fellow that makes replacement tubes who sells on eBay - but one more time everything had to come off. By the 3rd time I could get the carbs off in only a couple of hours.
As soon as I got it together and running.....I sold it and I gave my neighbor half the money. The last thing I wanted was a motorcycle that had a 32 year old fuel pump/water pump/radiator and hoses.
I wouldn't waste my time on it.....especially if the darn thing has transmission trouble.
